The following terms and conditions, together with any documents they expressly incorporate by reference and any agreement executed between you and the Company that specifically regulates your use of any or our platforms (collectively, “Termos de Uso”), govern your access to and use of the platforms developed, commercialized or otherwise made available through any of the “Finconecta Offerings”, which include, without the following list being exhaustive, 4wrd, Open Finance, OpenBanking Live, OpenBanking Lab, OpenBanking Pro, FinGateway and Finconecta’s Developer Portal, available at https://marketplace.finconecta.com/ (the “Platforms”). You may access and register to use any of our Platforms as either a financial institution, a digital solution or a developer. These Terms of Use apply to any person or entity that registers for the use of any of our Platforms. If there is a conflict between the contents of this document and the contents of any agreement executed between you and Finconecta, the specific agreement executed between you and Finconecta will control.

Please read these Terms of Use carefully before you start to use any of our Platforms . By using the Platforms you accept and agree to be bound and abide by these Terms of Use. If you do not want to agree to these Terms of Use, you must not access or use any of our Platforms. 

We reserve the right to amend these Terms at any time and without notice. When we update these Terms of Use, we will revise the “Last Modified” date above and post the new Terms of Use online. We encourage you to regularly check back on this page to ensure you are up to date with any changes. If you object to any changes, you may close your account. Your continued use of any of our Platforms after we publish our changes to these Terms of Use means that you are consenting to the updated Terms of Use.

You may not use any of our Platforms and may not accept this Terms of Use if you are not of legal age to form a binding contract with Finconecta. If you are using any of our Platforms on behalf of an entity, you represent and warrant that you have authority to bind that entity to this Terms of Use and by accepting the Terms of Use, you are doing so on behalf of that entity (and all references to “you” in the Terms of Use refer to that entity).

Accessing the Platforms and Account Security

We reserve the right to withdraw or amend the Platforms, and any service or material we provide on the Platforms, in our sole discretion without notice. Except as set forth in any agreement that specifically regulates your use of any of our Platforms, we will not be liable if for any reason all or any part of the Platforms is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Platforms, or to an entire Platform, to registered users such as yourself.

  • Ensuring that all persons who access any of our Platforms through your internet connection are aware of these Terms of Use and comply with them.

To access the Platform or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of any of our Platforms that all the information you provide to register is correct, current, and complete. We have the right to disable any user name, password, or other identifier, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use or of the specific agreement that regulates your use of any of our Platforms.

Direitos de Propriedade Intelectual

The Platforms and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, look and feel, selection, and arrangement thereof) are owned by Finconecta, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use our Platforms for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platforms, except as follows:

  • If we provide socially interactive features, such as comments, chats, etc. within certain parts of the Platforms or pursuant to certain content, you may take such actions as are enabled by such features.

Você não deve:

  • Modify copies of any materials from the Platforms.

  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the applicable site.
  • Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any of the Platforms or any related technology.

You may not sell, rent, lease, sublicense, redistribute, or syndicate any access to or use of the Platforms, unless permitted by a separate and specific agreement executed between you and us. 

If you wish to make any use of the materials on the Platforms other than that set out in this section, please address your request to: contact@finconecta.com.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of any of the Platforms in breach of the Terms of Use, your right to use such Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to any of our Platforms or any content on any of the Platforms is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of any of the Platforms not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

You may choose to or we may invite you to submit feedback, comments, questions, and other information about the Platforms that you use, including without limitation about how to improve such Platform. By submitting any such comments, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Finconecta under any fiduciary or other obligation, that we are free to disclose your comments on a non-confidential basis to anyone or otherwise use them without any additional compensation to you. You acknowledge that, by acceptance of your submission, Finconecta does not waive any rights to use similar or related ideas previously known to Finconecta, or developed by its employees, or obtained from sources other than you.

Marcas Registradas

The Company name, the terms Finconecta, 4wrd, OpenBanking Live, OpenBanking Lab, OpenBanking Pro, Fingateway and all related names, logos, product and service names, designs, and slogans are trademarks of Finconecta or its affiliates or licensors. You must not use such marks without the prior written permission of Finconecta. All other names, logos, product and service names, designs, and slogans on any of the Platforms are the trademarks of their respective owners.

Usos Proibidos

You may use the Platforms only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Platforms:

  • To sublicense the Platform for use by a third party, unless expressly permitted by a separate agreement executed between you and us for these purpose.

  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Platforms, or which, as determined by us, may harm Finconecta or users of the Platforms, or expose them or us to liability.
  • To bypass the measures we may use to prevent or restrict full access to the Platforms after purchasing a subscription.
  • To collect or harvest any personally-identifiable information, including user or account names, from any of the Platform.

  • To monitor the Platforms’ availabilities, performance or functionalities for any competitive purpose.
  • To engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of any of the Platforms.
  • To collect information to enter into any transaction with any user which could have the effect of preventing Finconecta, directly or indirectly, from receiving the full economic benefit of a subscription or license to any of the Platforms or to any of the products made available through the Platforms.

  • Use the Platforms in any manner that could disable, overburden, damage, or impair the applicable sites or interfere with any other party’s use of the Platforms, including their ability to engage in real time activities through the Platforms.
  • Use any robot, spider, or other automatic device, process, or means to access the Platforms for any purpose, including monitoring or copying any of the material on the Platforms.
  • Use any manual process to monitor or copy any of the material on the Platforms, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the Platforms.
  • Introduzir quaisquer vírus, cavalos de Tróia, worms, bombas lógicas ou outro material malicioso ou tecnologicamente prejudicial.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of any of the Platforms, the server on which the Platforms are stored, or any server, computer, or database connected to any of the Platforms. 
  • Attack the Platforms via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of any of the Platforms.

Contribuições do Usuário

The Platforms may contain reports, email notifications, SMS notifications, links to web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Serviços interativosque permitem aos usuários postar, enviar, publicar, exibir ou transmitir para outros usuários ou outras pessoas (doravante, "publicarconteúdo ou materiais em conexão consigo ou com os produtos e serviços que oferecem e sua funcionalidade (coletivamente, "Contribuições do Usuário”) on or through the any of the Platforms.

Any User Contribution you post to the Platforms will be considered non-confidential and non-proprietary. By providing any User Contribution on any of the Platforms, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose. 

Você representa e garante que: 

  • Possui ou controla todos os direitos das Contribuições do usuário e tem o direito de nos conceder, a nós e às nossas afiliadas e prestadores de serviços, e a cada um dos nossos e seus respectivos licenciados, sucessores e cessionários, o direito de usar a licença concedida acima.
  • Todas as suas Contribuições do usuário cumprem e cumprirão estes Termos de uso. 

Você entende e reconhece que é responsável por qualquer Contribuição do usuário que enviar ou contribuir, e você, não Finconecta, tem total responsabilidade por esse conteúdo, incluindo sua legalidade, confiabilidade, precisão e adequação.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of any of our Platforms. 

Monitoramento e Execução; Rescisão

Temos o direito de:

  • Remover ou recusar-se a postar qualquer Contribuição do usuário por qualquer motivo ou nenhum, a nosso exclusivo critério.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards below, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of any of our Platforms or the public, or could create liability for the Company.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platforms. 
  • Terminate or suspend your access to all or part of any of our Platforms for any or no reason, including without limitation, any violation of these Terms of Use.

Sem limitar o acima exposto, temos o direito de cooperar plenamente com qualquer autoridade policial ou ordem judicial que solicite ou nos ordene divulgar a identidade ou outras informações de qualquer pessoa que publique qualquer material na ou através da Plataforma. VOCÊ RENUNCIA E ISENTA A EMPRESA E SUAS AFILIADAS, LICENCIADOS E PRESTADORES DE SERVIÇOS DE QUALQUER RECLAMAÇÃO RESULTANTE DE QUALQUER AÇÃO TOMADA POR QUALQUER DAS PARTES ACIMA DURANTE OU TOMADA COMO CONSEQUÊNCIA DE INVESTIGAÇÕES POR TAIS PARTES OU AUTORIDADES POLICIAIS.

No entanto, não nos comprometemos a revisar todo o material antes que seja publicado na Plataforma e não podemos garantir a remoção imediata de material objetável após a publicação. Consequentemente, não assumimos nenhuma responsabilidade por qualquer ação ou omissão em relação a transmissões, comunicações ou conteúdo fornecido por qualquer usuário ou terceiro. Não temos nenhuma responsabilidade ou obrigação perante qualquer pessoa pelo desempenho ou não desempenho das atividades descritas nesta seção. 

Padrões de Conteúdo

  • Promover material sexualmente explícito ou pornográfico, violência ou discriminação com base na raça, sexo, religião, nacionalidade, deficiência, orientação sexual ou idade.
  • Violar qualquer patente, marca registrada, segredo comercial, direito autoral ou outros direitos de propriedade intelectual ou qualquer outro direito de qualquer outra pessoa.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Política de Privacidade.
  • Ser falsas ou enganosas ou ter a capacidade de enganar qualquer pessoa de alguma forma.
  • Promover qualquer atividade ilegal ou defender, promover ou ajudar qualquer ato ilícito.
  • Causar irritação, inconveniência ou ansiedade desnecessária ou ter a capacidade de perturbar, envergonhar, alarmar ou incomodar qualquer outra pessoa.
  • Fingir ser qualquer pessoa ou falsificar sua identidade ou afiliação com qualquer pessoa ou organização. 
  • Envolva atividades comerciais ou vendas, como concursos, sorteios e outras promoções de vendas, trocas ou publicidade.
  • Dar a impressão de que emanam de nós ou são endossados por nós ou qualquer outra pessoa ou entidade, se esse não for o caso.

Os usuários não devem postar nenhuma Contribuição do Usuário que inclua informações confidenciais ou proprietárias ou que represente de forma inadequada a si mesmos ou à entidade que representam ou qualquer um de seus produtos ou serviços. 

Violação de Direitos Autorais

If you believe that any User Contributions violates your copyrights, please send us a notice of copyright infringement at contact@finconecta.com. It is the policy of Finconecta to terminate the user accounts of repeat infringers. 

A Confiança nas Informações Publicadas

We do not warrant the accuracy, completeness, or usefulness of any of the information posted through any of our Platforms. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platforms, or by anyone who may be informed of any of its contents.

The Platforms include content provided by third parties, including materials provided by other users and third-party licensors. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Finconecta, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Finconecta. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

We may update the content on any of our Platforms from time to time, but their contents are not necessarily complete or up-to-date. Any of the material on any of the Platforms may be out of date at any given time, and we are under no obligation to update such material.

All information we collect on the Platforms is subject to our Privacy Policy. By using any of the Platforms, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy. 

Linking to the Platforms and Social Media Features

You may link to you profile to your homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent. 

The Platforms may provide certain social media features that enable you to:

  • Link from your own or certain third-party Platforms to certain content on any of the Platforms.
  • Send emails or other communications with certain content, or links to certain content, on the Platforms.
  • Cause limited portions of content on the Platforms to be displayed or appear to be displayed on your own or certain third-party websites.

If any of the Platforms contain links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to any of our Platforms, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Restrições Geográficas

The owner of the Platforms is based in the State of Florida in the United States. Access to any of the Platforms may not be legal by certain persons or in certain countries. If you access any of our Platforms from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or from any of the Platforms will be free of viruses or other destructive code. TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF ANY OF THE PLATFORMS OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORMS OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON THEM, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE PLATFORMS, THEIR CONTENTS, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORMS IS AT YOUR OWN RISK. THE PLATFORMS, THEIR CONTENTS, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORMS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER FINCONECTA NOR ANY PERSON ASSOCIATED WITH FINCONECTA MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORMS. WITHOUT LIMITING THE FOREGOING, NEITHER FINCONECTA NOR ANYONE ASSOCIATED WITH FINCONECTA REPRESENTS OR WARRANTS THAT THE PLATFORMS, THEIR CONTENTS, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORMS WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORMS OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORMS WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. 

TO THE FULLEST EXTENT PERMITTED BY LAW, FINCONECTA HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW AND/OR ANY WARRANTIES GRANTED TO YOU PURSUANT TO A SEPARATE AGREEMENT EXECUTED BETWEEN YOU AND US.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL FINCONECTA, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORMS, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE PLATFORMS OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. 

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW AND/OR ANY LIABILITY ASSUMED BY US PURSUANT TO A SEPARATE AGREEMENT EXECUTED BETWEEN YOU AND US.

You agree to defend, indemnify, and hold harmless Finconecta, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of any of the Platforms, including, but not limited to, your User Contributions, any use of any of the Platforms’ content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from any of the Platforms.

Lei e Jurisdição Aplicáveis

All matters relating to the Platforms and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Platforms shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, in each case located in the City of Miami and County of Miami-Dade although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitragem

At Company’s sole discretion, it may require You to submit any disputes arising from these Terms of Use or use of any of the Platforms, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.

Limitação de Tempo para Apresentar Reivindicações

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE PLATFORMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Renúncia e Severabilidade

Nenhuma renúncia por parte da Empresa de qualquer termo ou condição estabelecido nestes Termos de Uso será considerada uma renúncia adicional ou continuada de tal termo ou condição ou uma renúncia de qualquer outro termo ou condição, e qualquer falha da Empresa em afirmar um direito ou disposição sob estes Termos de Uso não constituirá uma renúncia de tal direito ou disposição.

Se alguma disposição destes Termos de Uso for considerada inválida, ilegal ou inexequível por um tribunal ou outro tribunal competente, tal disposição será eliminada ou limitada ao mínimo necessário para que as disposições restantes dos Termos de Uso continuem em pleno vigor e efeito. 

Acordo Integral

The Terms of Use, any specific agreement executed between you and us, and our Privacy Policy constitute the sole and entire agreement between you and Finconecta regarding the use of the Platforms and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platforms. These Terms of Use may be superseded entirely by a platform as a service agreement, if you are registered to use the Platform as a financial institution; or by a software value added reseller agreement, if you are registered to use the Platform as a digital solution.
